Event Duration and Registration

From August. 19 to October. 31, 2025, members (“You”, “Your” or “Your”, as applicable) of the MSI online store located at https://eu-business-store.msi.com/ (“MSI Business Online Store”) have the opportunity to register for the “MSI Trade Up to Windows 11” event (the “Event”). MSI reserves the right to adjust product prices and discounts. All offers and discounts are limited in time. When the product is sold out or the promotion ends, the offers will no longer be offered. To participate, the following steps are required:

• You must log in to or create an MSI business account. You are not able to see product prices and offers without login.
• To register, please complete the business information form and wait for MSI to review your application. Once your business account has been approved, then you can start shopping.

Offer #1: Discount Offer

• Eligible Products: Available for desktops, mini PCs, and all-in-one PCs. Laptops are excluded.
• The discount code is valid only on the MSI Business online store.
• A minimum order value of €300 is required.
• The discount offer cannot be combined with membership tier discounts or bulk purchase discounts.
• To receive a 10% off discount code, you must subscribe to our newsletter.

Offer #2: Free Recycle for Old

• A valid purchase invoice must be provided and successfully verified through our approval process.
• The recycle device must meet the specified size and eligibility requirements outlined in the recycling program.

Offer #3: 1-Year Extended Warranty

• This benefit applies exclusively to laptops, desktops, all-in-one PCs and mini PCs.
• The service must be activated within 30 days of purchase. Please retain your original purchase receipt for proof of purchase and validation.

Summary

• Eligible Participants are exclusively available for businesses registered in EU countries with a valid VAT number. Due to shipping restrictions, we currently support the following countries (including shipping destinations): Germany, France, and Spain.
• Participants must be 18 years of age or older to participate in the event. This event is open to end-users only and not to businesses. Employees and family members of MSI, its affiliates, subsidiaries, manufacturers, business partners, retailers, wholesalers, distributors, or agencies are not eligible to participate.
• If individuals or organizations use automated or bot-controlled processes to participate, these applications will be disqualified. Participation must be made directly by the participant. Any attempts by entrants to obtain ineligible entries by using different email addresses, identities, registrations, logins, or other methods will void that entrant's entry and may result in disqualification. Final eligibility for prizes will be verified as set forth below. All entries must be made before the end of the Promotion Period. The official event period is determined by the MSI database.
• This Promotion is void where prohibited or restricted by law.
• Privacy Policy. During the event registration and product registration process, we will ask you for information such as, where applicable, your email address, name, product serial number, redemption code, purchase information, and other voluntary details. In addition, we may indirectly collect information from you through cookies or analytics features embedded in the website. The information we collect will be used in the following ways: to administer this promotion, to verify your eligibility, to contact you if necessary, to ensure the prize(s) can be sent to you, to store registered product data for as long as there is an ongoing relationship between us (e.g., if you use our services such as warranty, EDM notices, etc.), and solely for internal market research to develop better products and services. Your information will not be shared with third parties except: i) with third-party processors such as our internet service providers and website providers to enable us to administer these promotions; or ii) in reporting or responding to actual or suspected violations of applicable laws to legal and regulatory authorities such as courts or the police to the extent necessary. Due to the international nature of our business, we transfer information within the MSI Group and to third parties, as mentioned above, in connection with the purpose set out in these Terms and Conditions. Therefore, we may transfer information to countries that may have different legal bases and data protection requirements than those in the country where you are located. For further details on how your information may be used and processed, please see MSI's Privacy Policy, available at https://de.msi.com/page/privacy-policy. The MSI Privacy Policy forms part of these Terms and Conditions and is hereby incorporated by reference with full force and effect.
• eDM Subscription. If you would like to receive the latest information and service updates from MSI, you may be asked to check the box to subscribe to both the MSI Member Center and the MSI Online Store. If you do not want this to happen, please do not check the “Subscribe” or similarly titled box.
• Participant License. For any material you provide to us for this Event, including, without limitation, images, videos, reviews, content, comments, feedback, and written materials, as applicable (collectively, "Submitted Materials"), you hereby grant MSI and its worldwide affiliates a perpetual, irrevocable, royalty-free, fully paid, worldwide, sublicensable license to use, reproduce, duplicate, copy, distribute, create derivative works from, publicly display and perform, and otherwise use or exploit the Submitted Materials in any lawful manner reasonably determined by MSI and subject to MSI's Privacy Policy.
• Participant Representations and Warranties. You hereby represent and warrant that: The information you provide is accurate and truthful; You have full authority, capacity, power, and right to register for this Event and to make the necessary licensing grants, representation, and warranties pursuant to these Terms and Conditions; You have obtained and will maintain all applicable approvals, consents, permissions, licenses, and waivers necessary to grant the above-mentioned licenses to MSI and its subsidiaries; and you have complied with all applicable laws in registering for this event.
• Participant Indemnity. You agree to defend, indemnify, and hold harmless MSI, its affiliates, and successors, assigns, directors, and agents from and against all liabilities, damages, judgments, costs, expenses, and fees (including reasonable attorneys' fees) resulting from any third-party claims, investigations, litigation, or other legal or administrative actions arising out of or related to any actual or alleged breach by you of any representations, warranties, or covenants in these Terms and Conditions.
• Participant Consent. You hereby acknowledge and agree that: (a) MSI reserves the sole and exclusive right to: to finally and conclusively determine whether an entrant has complied with the event requirements in good faith. By way of illustration, and without limiting any other terms and conditions, MSI may disqualify entrants: a) if the event registration or product registration is incomplete, b) if the requirements for participation in the event, such as the applicable product line or regional restrictions, are not met, c) if the documents provided are forged, fraudulent, or invalid, d) if automated codes, scripts, plugins, or other means were used to enter or complete the event registration, e) if the entrant does not have the legal basis to register for this event, or f) if any criminal or illegal activity is committed or alleged to be committed in order to register for this event; substitute the prize with items of similar value without prior notice; change, delete, or add to these terms and conditions without prior notice; (b) MSI is not liable and assumes no liability to any person for any loss, dissatisfaction, or damages arising from the prize and its use. Winners may not assert any claims against MSI; (c) MSI disclaims all liability for delays, misdeliveries, losses, or failures in the delivery of prize notification due to mechanical, technical, electronic, communications, telephone, computer, hardware, internet, or software errors, malfunctions, or failures of any kind. In such an event, the winner unconditionally waives their right to the prize and any related compensation.
• Exclusion of MSI Warranties. The MSI prize(s) is/are provided "as is" without any warranty of any kind, either express or implied, including warranties of merchantability, non-infringement, or fitness for a particular purpose.
• Limitation of Liability. To the fullest extent permitted by applicable law, MSI will not be liable to you for any claim (regardless of the theory of liability, whether based on contract, warranty, negligence or other tort, breach of statutory duty, or otherwise) for any special, consequential, reliance, indirect, incidental, punitive, or exemplary damages, whether foreseeable or not, including, but not limited to, lost profits, revenues, goodwill, or replacement costs.
• Miscellaneous. These Terms and Conditions are governed by the laws of Taiwan, without regard to conflict of law principles, and any dispute arising out of the Event and these Terms and Conditions will be decided by the Taipei District Court in Taipei, Taiwan. Any provision found by a court of competent jurisdiction to be invalid shall be struck, and the remaining Terms and Conditions will remain in full force and effect. MSI's failure to enforce any right under these Terms and Conditions shall not be construed as a waiver. MSI shall not be liable for any failure of performance resulting from circumstances beyond MSI's reasonable control. These Terms and Conditions may not be assigned or otherwise transferred by you to any third party; any unauthorized assignments will be null and void. These Terms and Conditions constitute the entire agreement between the parties with respect to the Event and supersede all prior agreements, communications, representations, or discussions, oral or otherwise.
